Minebea received notice from Mr. Tadakatsu Sano, a member of the independent committee established as part of the "Countermeasures for Large-Scale Acquisitions of Minebea Shares (Takeover Defense Measures)" which was approved and passed at the May 8, 2008 meeting of the Board of Directors and approved for revision at the June 27, 2008 annual shareholder general meeting, that he would be resigning from the committee for personal reasons.
